How We're Run

Cardiff University Students’ Union is a charitable company that is governed and strategically led by its Board of Trustees. The Union’s activities are managed within a group of companies; the parent charitable company is called Cardiff University Students’ Union (CUSU), and CUSU has a wholly owned subsidiary called Cardiff Union Services Limited (CUSL).

Cardiff Students' Union Board of Trustees

The Board is responsible for ensuring the effective day-to-day management of the Union, setting long-term goals, setting operational policies, and managing risks. The Board has ultimate responsibility for directing the affairs of the organisation, ensuring that it is well-run and delivering its charitable objectives.

Cardiff Union Services Limited (CUSL), Board of Directors

CUSL exists to promote the social and educational welfare of the students at Cardiff University by providing services and facilities to its students. Any profits made by CUSL are gifted to CUSU in pursuit of the Union’s charitable objectives.

CUSL has an independent Board of Directors that oversee the work of the company, ensure that it is meeting its objectives and are ultimately responsible for it. Madison Hutchinson, Students’ Union President, is the Chair of CUSL Board and Daniel Palmer (CEO) is the Managing Director.

Trustees

The Board comprises 15 members and meets at least four times a year to carry out its business. Trustees are appointed according to the rules laid out in the Union’s Articles of Association, with students directly electing the seven Sabbatical Trustees via the annual elections in February / March every year.

What the trustees do

Trustees provide regular reports on their activities to the Union’s Student Senate, with Sabbatical Trustees being held being further accountable via the Student Senate Scrutiny Committee.

The Board has ultimate responsibility, individually, and collectively, for directing the affairs of the organisation, ensuring that it is well-run and delivering its charitable objectives.

Sabbatical Trustees

The Sabbatical Trustees are the seven annually elected sabbatical officers who act as the Union's primary student representatives and who take on specifica portfolios of responsilibity. Sabbatical officers are paid employees who take a year out of their studies or arry out the role after completion of their final year. The SU President is a Sabbatical Trustee and oversees the work of the other sabbatical officers. The SU President is the ex officio Chair of the Board.

Student Trustees

The Student Trustees are three studying students who undertake the role on a voluntary basis whilst completing their studies and can serve for up to two years. Students are invited to apply to be Student Trustees as and when vacancies arise and are nominated based on their knowledge, skills, and experience.

University Nominated Trustees

The two University Nominated Trustees are nominated by the University Council, with at least one of them being a serving member of the University Council. The University Nominated Trustees bring professional skills to the Board as well as an excellent understanding of Cardiff University. University Nominated Trustees undertake the role on a voluntary basis for four years and can serve a maximum of four terms.

External Trustees

The three External Trustees are nominated by the Board based on their professional knowledge, skills and experience they can bring to the Board. External Trustees undertake the role on a voluntary basis and often take on additional responsibilities within the sub-committees of the Board. External Trustees serve four-year terms and can serve for up to four terms.

Constitution

The Memorandum and Articles of Association is the governing document that defines the Students’ Unions aims and objectives and the way the organisation undertakes its core functions.

These documents are reviewed every five years; the Board of Trustees at its meeting held in September 2024, agreed to propose some amendments as the basis for consultation with students. The Students’ Union has a formal Relationship Agreement with Cardiff University to demonstrate the mutual support between the two organisations and to pave the way for future collaboration. The agreement is reviewed and agreed annually.

Mae Undeb Myfyrwyr Prifysgol Caerdydd yn gwmni elusennol sy'n cael ei lywodraethu a'i arwain yn strategol gan Fwrdd Ymddiriedolwyr. Rheolir gweithgareddau'r Undeb o fewn grŵp o gwmnïau; enw'r rhiant-gwmni elusennol yw Undeb Myfyrwyr Prifysgol Caerdydd (UMPC), ac mae gan UMPC is-gwmni sy'n eiddo llwyr o'r enw Gwasanaethau Undeb Caerdydd Cyfyngedig (GUCC).

Mae’r Bwrdd yn gyfrifol am sicrhau bod yr Undeb yn cael ei reoli’n effeithiol o ddydd i ddydd, gosod amcanion hirdymor, gosod polisïau gweithredol, a rheoli risgiau. Mae GUCC yn bodoli i hyrwyddo lles cymdeithasol ac addysgol myfyrwyr ym Mhrifysgol Caerdydd trwy ddarparu gwasanaethau a chyfleusterau. Mae unrhyw elw a wneir gan GUCC yn cael ei roi i UMPC tuag at amcanion elusennol yr Undeb.

Mae gan GUCC Fwrdd Cyfarwyddwyr annibynnol sy'n goruchwylio gwaith y cwmni, sicrhau ei fod yn cyflawni ei amcanion, a’n gyfrifol amdano yn y pen draw. Madison Hutchinson, Llywydd Undeb y Myfyrwyr, yw Cadeirydd Bwrdd GUCC a Daniel Palmer (PSG) yw'r Rheolwr Gyfarwyddwr.

Ymddiriedolwyr

Mae'r Bwrdd yn cynnwys 15 aelod ac mae’n cyfarfod o leiaf bedair gwaith y flwyddyn i gynnal ei fusnes. Penodir ymddiriedolwyr yn unol â'r rheolau a nodir yn Erthyglau Cymdeithasu'r Undeb, gyda myfyrwyr yn ethol y saith Ymddiriedolwr Sabothol yn uniongyrchol drwy'r etholiadau blynyddol ym mis Chwefror / Mawrth.

Beth mae'r ymddiriedolwyr yn ei wneud

Mae'r ymddiriedolwyr yn darparu adroddiadau rheolaidd ar eu gweithgareddau i Senedd y Myfyrwyr yr Undeb, gydag Ymddiriedolwyr Sabothol hefyd yn atebol drwy Bwyllgor Craffu Senedd y Myfyrwyr.

Mae gan y Bwrdd gyfrifoldeb yn y pen draw, yn unigol a gyda'i gilydd, am gyfarwyddo’r sefydliad, gan sicrhau ei fod yn cael ei redeg yn dda ac yn cyflawni ei amcanion elusennol.

Ymddiriedolwyr Sabothol

Yr Ymddiriedolwyr Sabothol yw'r saith swyddog sabothol etholedig sy'n gweithredu fel cynrychiolwyr cynradd myfyrwyr yr Undeb ac sy'n ymgymryd â phortffolios a chyfrifoldebau penodol. Mae swyddogion sabothol yn weithwyr cyflogedig sy'n cymryd blwyddyn allan o'u hastudiaethau neu sy'n ymgymryd â'r rôl ar ôl cwblhau eu blwyddyn olaf. Mae Llywydd yr Undeb yn Ymddiriedolwr Sabothol ac yn goruchwylio gwaith y swyddogion sabothol eraill. Llywydd yr UM yw Cadeirydd y Bwrdd.

Mae'r Ymddiriedolwyr Myfyrwyr yn dri myfyriwr sy'n ymgymryd â'r rôl yn wirfoddol wrth gwblhau eu hastudiaethau, a gallant wasanaethu am hyd at ddwy flynedd. Gwahoddir myfyrwyr i wneud cais i fod yn Ymddiriedolwyr Myfyrwyr pan fydd swyddi gwag yn codi ac maent yn cael eu henwebu ar sail eu gwybodaeth, eu sgiliau a'u profiad.

Ymddiriedolwyr a Enwebir gan y Brifysgol

Mae'r ddau Ymddiriedolwr a Enwebir gan y Brifysgol yn cael eu henwebu gan Gyngor y Brifysgol, gydag o leiaf un ohonynt yn aelod presennol o Gyngor y Brifysgol. Mae Ymddiriedolwyr a Enwebir gan y Brifysgol yn dod â sgiliau proffesiynol i'r Bwrdd yn ogystal â dealltwriaeth ragorol o Brifysgol Caerdydd. Mae Ymddiriedolwyr a Enwebir gan y Brifysgol yn ymgymryd â'r rôl yn wirfoddol am bedair blynedd a gallant wasanaethu uchafswm o bedwar tymor.

Ymddiriedolwyr Allanol

Mae'r tri Ymddiriedolwr Allanol yn cael eu henwebu gan y Bwrdd yn seiliedig ar eu gwybodaeth, eu sgiliau a'r profiad proffesiynol y gallant eu defnyddio tra ar y Bwrdd. Mae Ymddiriedolwyr Allanol yn ymgymryd â'r rôl yn wirfoddol ac yn aml yn ysgwyddo cyfrifoldebau ychwanegol o fewn is-bwyllgorau'r Bwrdd. Mae Ymddiriedolwyr Allanol yn gwasanaethu am gyfnod o bedair blynedd a gallant wasanaethu am hyd at bedwar tymor.

Y Memorandwm a'r Erthyglau Cymdeithasu yw'r dogfennau llywodraethol sy'n diffinio nodau ac amcanion Undeb y Myfyrwyr a'r ffordd y mae'r sefydliad yn cyflawni ei swyddogaethau craidd.

Mae gan Undeb y Myfyrwyr Gytundeb Perthynas ffurfiol â Phrifysgol Caerdydd i ddangos y bartneriaeth rhwng y ddau sefydliad ac i baratoi'r ffordd ar gyfer cydweithredu yn y dyfodol. Mae'r cytundeb yn cael ei adolygu a'i gytuno'n flynyddol.
